1. Preparation
The positioning of your company’s story to the right audience is critical to achieving an optimal sale outcome. Our team spends substantial time and effort on the front end to understand each aspect of your business in order to articulate the investment opportunity appropriately. Then, we create confidential materials and strategically select the buyers and investors to include in the process.
2. Outreach
Nolan’s senior investment bankers confidentially connect with the key decision makers for your target buyers and investors. We educate each interested party on the acquisition opportunity, simulate an auction environment and then solicit first round bids in the form of Indications of Interest.
3. Negotiations
The top prospective buyers will be invited to participate with you in management presentations. You will get the chance to meet the potential acquirers of your company in this “dual-interview” process. Following the meetings, we will negotiate a Letter of Intent with the party that presents the most compelling offer.
4. Documentation
Your buyer will conduct their due diligence during this time period. The legal documents, including the Purchase Agreement, will be drafted and negotiated.
5. Closing
Transition plans and logistics are coordinated in this phase. Once the deal is closed, a wire transfer of funds will occur to your financial advisor or preferred financial institution.
